01Definitions
For the purposes of these Terms & Conditions, the following terms apply:
- “Client” means any individual or business entity that engages Services described on the Site through a paid agreement or accepted proposal.
- “Services” means the web development, mobile app development, design, and related work offered as described on the Site.
- “Site” means the website located at bibekbasnet.com.np and all pages contained within it.
- “Deliverables” means the source code, designs, documentation, and other work product produced as part of an agreed engagement.
- “Proposal” means any written scope, quote, or agreement outlining a specific project's cost, timeline, and deliverables.
- “You” / “Your” means the Client, or any visitor to the Site, as applicable in context.
02Acceptance of Terms
These Terms & Conditions (“Terms”) govern the use of the Site and any Services provided by Bibek Basnet (“I,” “me,” or “my”), operating as an independent software developer and designer. By accessing the Site, submitting a project inquiry, or engaging Services in any capacity, You agree to be bound by these Terms.
03Description of Services
Services offered include, but are not limited to:
- Web development
- Mobile app development
- Full-stack engineering
- E-commerce platform development
- Enterprise software development
- UI/UX design
- Domain and hosting setup
- Lifetime maintenance, as described separately below
The specific scope of work for any engagement will be defined in a Proposal prior to work commencing.
04Project Engagement Process
Every engagement begins with an initial consultation to understand project requirements. Following this consultation, a Proposal outlining scope, timeline, and cost will be provided. Work begins only once scope and payment terms have been mutually agreed upon, either in writing or through explicit confirmation via email or messaging.
05Payment Terms
Unless otherwise agreed in writing for a specific project:
- A deposit may be required before work begins, with the remaining balance due upon project completion or according to milestones agreed upon in the Proposal.
- Invoices are due within the timeframe specified on the invoice itself, typically within 14 days of issuance.
- Late payments may result in a pause of active work until outstanding balances are settled.
- All prices are quoted in the currency specified in the Proposal and are exclusive of any applicable taxes unless stated otherwise.
06Client Responsibilities
To ensure a project proceeds smoothly, the Client agrees to:
- Provide timely feedback, content, and access to accounts or systems necessary to complete the work.
- Designate a single point of contact for project communication and decision-making, where applicable.
- Review and approve Deliverables within a reasonable timeframe to avoid project delays.
Delays caused by the Client's failure to provide necessary materials, feedback, or approvals may extend project timelines accordingly and are not considered a breach of these Terms.
07Intellectual Property
Upon full payment for a completed project, ownership of the final Deliverables — including source code, designs, and assets created specifically for that project — transfers to the Client, except where the Deliverable incorporates third-party libraries, frameworks, or licensed assets, which remain governed by their respective licenses.
Until full payment is received, all work produced remains the intellectual property of Bibek Basnet and may not be used, reproduced, or deployed by the Client.
I reserve the right to showcase completed projects in a portfolio, case study, or promotional material, unless the Client requests confidentiality in writing prior to project completion.
08Revisions & Scope Changes
Each Proposal will specify an agreed number of revision rounds included in the project cost. Requests that fall outside the originally agreed scope of work — including new features, significant design changes, or additional pages or screens not included in the original Proposal — will be treated as scope changes and quoted separately before work on them begins.
09Lifetime Maintenance Terms
Projects delivered with a lifetime maintenance commitment include, at no additional cost, ongoing bug fixes, security patches, and minor content updates for as long as the project remains active and in use by the Client. Lifetime maintenance does not include:
- New feature development beyond the originally delivered scope.
- Significant redesigns or platform migrations.
- Third-party service costs, including hosting, domain renewal, or paid API usage, which remain the Client's responsibility.
Lifetime maintenance is tied to the specific project delivered and does not transfer if the project is substantially rebuilt or migrated to a different platform without my involvement.
10Confidentiality
Any confidential business information shared by the Client during the course of a project will be kept confidential and will not be disclosed to third parties, except where required by law or where the Client has given explicit permission for its use in a portfolio or case study.
11Limitation of Liability
Services are provided on an “as is” and “as available” basis. While every reasonable effort is made to deliver high-quality, functional software, I am not liable for any indirect, incidental, or consequential damages arising from the use of delivered software, including but not limited to loss of revenue, data, or business opportunities, except where such liability cannot be excluded under applicable law.
Total liability for any claim arising from a project engagement is limited to the total amount paid by the Client for that specific project.
12Termination
Either party may terminate an active engagement with written notice if the other party materially breaches these Terms and fails to remedy the breach within a reasonable period after notice is given. In the event of termination, the Client is responsible for payment for all work completed up to the date of termination.
13Governing Law
These Terms are governed by the laws of Nepal, without regard to conflict of law principles, unless a separate written agreement for a specific project specifies otherwise.
14Changes to These Terms
These Terms may be revised periodically. The “Last Updated” date at the top of this document reflects the most recent revision. Continued use of the Site or engagement of Services after changes are posted constitutes acceptance of the revised Terms.
